Terms of Service

These Terms govern your use of The Koi Portal (the “platform”, “we”, “us”). By creating an account, publishing a page, posting a request, messaging another user or signing an agreement, you accept these Terms. If you do not agree, do not use the platform.

1.What The Koi Portal is — and is not

The Koi Portal is an introduction and listing platform. We connect people who want to buy koi with breeders, farms and dealers who sell them. We publish pages, requests, messages, reviews and agreement summaries.

We are not a seller, buyer, broker, agent, importer, exporter, shipper, insurer, escrow agent, or party to any transaction between users. Every sale is a direct contract between the buyer and the seller. We do not own, inspect, handle, transport or take possession of any fish.

2.Eligibility and accounts

  • You must be at least 18 years old and legally able to enter contracts.
  • You must provide accurate information and keep your account credentials secure.
  • You are responsible for everything that happens under your account.
  • Business accounts (breeders, farms, dealers) must represent a real operation and a real, authorised person.

3.Verification badges

Badges such as “Registered” reflect limited, automated or documentary checks only — for example a confirmed email address, proof of control over a website domain, or documents supplied by the seller. They are not a guarantee of honesty, solvency, fish quality, licensing, or the ability to perform any deal.

We may grant, withhold, suspend or revoke any badge at our discretion. Do your own due diligence before sending money to anyone.

4.Sellers are the merchant of record

For every sale, the seller is the merchant of record and the sole seller of the goods. The Koi Portal is never the merchant of record, reseller or party to a sale. Sellers accept a separate Seller Agreement before their page can go live, and are responsible for fulfilment, shipping, refunds, returns, chargebacks, disputes and all taxes on their sales.

All money moves directly between buyer and seller. The Koi Portal does not hold, process, escrow, guarantee, refund or insure funds exchanged between users, and takes no responsibility for any financial dealings between a client and a business, including deposits, wire transfers, chargebacks, currency conversion, taxes, duties or non-payment.

Sellers are solely responsible for sales tax, VAT, use tax, import duties and any other tax that applies to a transaction. The seller must determine their tax obligations, collect any tax from the buyer if required, issue proper receipts or invoices, and remit the tax to the relevant authority. The Koi Portal does not calculate, collect or remit tax and is not the merchant of record for any sale.

Choose your payment method carefully. Payment disputes are between you and the other party. We may, but are not obliged to, provide records of on-platform messages or agreements.

5.Platform fee

The Koi Portal charges a platform fee of 7% of the agreed transaction value for the introduction and platform services provided. The fee is earned when the agreement is signed by both parties on the platform and is payable by the seller unless otherwise agreed in writing.

The platform fee is calculated on the agreed transaction value and is separate from any sales tax, VAT, duties or shipping. It does not include tax, and the seller remains responsible for tax on the full sale.

The platform fee is non-refundable. It is not refunded if the fish are later cancelled, delayed, damaged, dead on arrival, refused, returned, refunded by the seller, or if the parties fall out after signing. The platform fee pays for the introduction and platform services, not for the outcome of the sale.

Attempting to avoid the platform fee by taking an introduced deal off-platform is a breach of these Terms.

6.Livestock, health and delivery

Koi are live animals. The Koi Portal makes no warranty whatsoever regarding the health, genetics, bloodline, sex, size, variety, grade, age, breeding potential, disease status, quarantine history, or survival of any fish, and is not responsible for safe arrival, shipping delays, mortality in transit, or losses after delivery.

Shipping arrangements, live-arrival guarantees, quarantine terms, health certificates, import/export permits and customs compliance are the responsibility of the buyer and seller. Verify what is legal to import into your country or state before buying.

7.Agreements between users

The agreement panel is a convenience tool that records what two users say they agreed. Signing it creates a contract between those users only. The Koi Portal is not a party to it, does not enforce it, and does not guarantee performance by either side.

8.Reviews and content

  • Reviews must describe a genuine experience and must be honest, factual and free of abuse.
  • No fake, incentivised, self-authored or competitor-sabotage reviews. Sellers may post one public reply per review.
  • You keep ownership of the content you post and grant us a worldwide, royalty-free licence to host, display and distribute it on the platform.
  • You must have the rights to any photo you upload. Reviews and comments are the opinions of their authors, not of The Koi Portal.
  • We may remove content or suspend accounts that breach these Terms, at our discretion.

9.Prohibited conduct

  • Fraud, impersonation, fake business pages, or misrepresenting fish you are selling.
  • Selling species prohibited in the buyer's or seller's jurisdiction, or evading import controls.
  • Harassment, threats, hate speech, spam, or soliciting users for unrelated offers.
  • Scraping, reverse engineering, or interfering with the platform's operation or security.
  • Requesting payment through channels designed to defeat buyer protection while claiming otherwise.

10.Disclaimer of warranties

The platform is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy of listings, or non-infringement. We do not warrant uninterrupted or error-free service.

11.Limitation of liability

To the fullest extent permitted by law, The Koi Portal and its owners are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost fish, lost data, dead or diseased livestock, non-delivery, non-payment, or the acts of any user.

Our total aggregate liability for any claim relating to the platform is limited to the total platform fees you actually paid us in the three months before the claim arose, or USD 100, whichever is greater.

12.Indemnity

You agree to indemnify and hold harmless The Koi Portal, its owners and staff from any claim, loss or expense (including legal fees) arising out of your use of the platform, your transactions with other users, your content, or your breach of these Terms or of any law.

13.Disputes between users

We are not an arbiter. If a deal goes wrong, resolve it directly with the other party, then leave an honest review. We may provide message and agreement records where legally appropriate, but we do not adjudicate, refund or compensate.

14.Suspension and termination

We may suspend or terminate any account at any time for breach of these Terms, suspected fraud, or risk to other users. You may close your account at any time; platform fees already earned remain payable and non-refundable.

15.Changes, governing law and contact

We may update these Terms; continued use after changes means acceptance. These Terms are governed by the laws of the jurisdiction in which The Koi Portal is operated, and disputes with us will be handled in that jurisdiction's courts. If any clause is unenforceable, the rest remains in force.

The Koi Portal is owned and operated by Atlas Growth Labs LLC. References to “The Koi Portal”, “we”, “us” and “our” in these Terms mean Atlas Growth Labs LLC.
