Seller Agreement
This agreement applies to every breeder, farm and dealer who lists on The Koi Portal. You must accept it before your page can go live. The headline is simple: you are the merchant of record for everything you sell, and The Koi Portal is only the introduction platform.

1.Who this is between
This Seller Agreement is between you (the “Seller”) and Atlas Growth Labs LLC, which owns and operates The Koi Portal (the “Platform”). It sits on top of our Terms of Service, Privacy Policy and Disclaimers, which also apply to you.
2.You are the merchant of record
For every sale you make through the Platform, you are the merchant of record and the sole seller of the goods. The Koi Portal is not the seller, reseller, agent, broker, importer, exporter, shipper, escrow agent or merchant of record for any transaction, and never takes title to or possession of any fish.
As merchant of record you are solely responsible for:
- Describing the koi accurately, including variety, size, sex, age, grade and health.
- Setting your prices, shipping charges, live-arrival terms and cancellation policy.
- Fulfilling the order, packing, shipping, insurance and any live-arrival guarantee.
- Issuing receipts and invoices to the buyer in your own business name.
- Collecting, reporting and remitting all applicable tax.
- Handling refunds, returns, chargebacks, payment disputes and customer complaints.
3.Disputes, refunds and chargebacks are yours
Any dispute with a buyer — about condition, delay, non-delivery, dead-on-arrival loss, misdescription, quality, refunds or payment — is between you and that buyer. The Koi Portal does not mediate, arbitrate, adjudicate, refund or compensate, and is not liable for any amount you owe or are owed.
You will issue any refund you agree to, or that law requires, from your own funds. If a payment method is later reversed, disputed or charged back, the loss is yours. Where the Platform holds message or agreement records, we may make them available to either party, but that is a courtesy, not adjudication.
4.Taxes are yours
You are solely responsible for all taxes arising from your sales — sales tax, VAT, GST, use tax, income tax, import duties and any other levy. You must determine where you have a tax obligation, register where required, charge and collect the correct amount, issue compliant invoices, remit the tax, and file your own returns and information reports.
The Koi Portal does not calculate, collect, withhold, remit or report tax on your behalf and does not act as a marketplace facilitator or merchant of record for tax purposes. We do not provide tax or legal advice — speak to your own accountant.
5.Payments
Payments are arranged between you and the buyer. The Koi Portal does not hold funds, run escrow, guarantee payment or insure any transaction. If card or bank payment is offered through the Platform in future, the charge will be created on your payment account so you remain the merchant of record — funds, refunds, chargebacks and tax reporting stay with you.
6.The 7% platform fee
The Platform charges a fee of 7% of the agreed transaction value for the introduction and the platform services. It is earned when both parties sign an agreement on the Platform, is payable by you unless you and the buyer agree otherwise in writing, is calculated before tax and separate from it, and is non-refundable — including if the deal is cancelled, delayed, refunded, refused or the fish dies.
Taking an introduced deal off-platform to avoid the fee is a breach of this agreement and may result in removal of your page.
7.Legal compliance, livestock and welfare
You warrant that you operate lawfully, that you have the right to sell every koi you list, and that you comply with animal welfare, health-certificate, quarantine, species-restriction, import and export rules that apply to you and to the destinations you ship to. You will not list species that are prohibited where you or the buyer are located.
8.Your page, your content, honest conduct
- Your business page must represent a real operation run by a real, authorised person.
- You own or have rights to every photo and video you upload, and grant us a licence to display it here.
- Verification badges reflect limited checks only. You may not describe yourself as certified, endorsed, insured or guaranteed by The Koi Portal.
- No fake reviews, no review manipulation, no misrepresenting fish, and one public reply per review.
9.Indemnity and limitation of liability
You will indemnify and hold harmless Atlas Growth Labs LLC, its owners and staff from any claim, loss, tax assessment, penalty, chargeback or expense (including legal fees) arising from your sales, your listings, your content, your tax obligations, or your breach of this agreement or of any law.
Our total aggregate liability to you is limited to the platform fees you actually paid us in the three months before the claim arose, or USD 100, whichever is greater.
10.Suspension, changes and acceptance
We may suspend or remove any seller page for breach, suspected fraud, or risk to other members. You may unpublish or close your page at any time; fees already earned remain payable and non-refundable. We may update this agreement, and continued selling after an update means acceptance.
By accepting this agreement in your dashboard, you confirm you have read it, that you are authorised to bind your business, and that you are the merchant of record for every sale you make here. We record the date and version you accepted.
